I think this question should be rephrased as:
"But why does Ent from Lord of the Rings look so much like a dendroid in Heroes 3?"
That would be historically accurate... ;)
Although, on the other hand, this is a rather classic representation of a walking tree... Of course, you can always talk about plagiarism... But on the other hand, I can't imagine either of them in a better form :)
